1. Definitions
"Software" refers to DeBugExPress, including all associated software components, documentation, and related materials provided by DeBugExPress.
"Licensor" refers to DeBugExPress, the creator and owner of the Software.
"Licensee" refers to the individual or entity that has purchased a license to use the Software.
"License Key" refers to the unique activation code provided to the Licensee upon purchase, which enables the Software functionality.
"Permitted Number" means the number of installations authorized under the Licensee's purchased plan (1 for Personal, 5 for Team, 20 for Enterprise).
2. License Grant
Subject to the terms of this Agreement and payment of the applicable license fee, DeBugExPress grants the Licensee a non-exclusive, non-transferable license to:
- Install and use the Software on the Permitted Number of computers or servers owned or controlled by the Licensee
- Make one backup copy of the Software for archival purposes
- Use the Software for commercial or non-commercial purposes in accordance with this Agreement
This license is perpetual and does not expire, provided the Licensee complies with all terms of this Agreement.
3. Restrictions
The Licensee agrees not to:
- Copy, modify, or distribute the Software except as expressly permitted by this Agreement
- Reverse engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law
- Rent, lease, lend, sell, sublicense, or otherwise transfer rights to the Software
- Use the Software on more devices than the Permitted Number
- Share, publish, or disclose the License Key to any third party
- Use the Software for any unlawful purpose or in violation of any applicable laws
- Remove, alter, or obscure any proprietary notices on the Software
4. Intellectual Property
The Software is protected by copyright laws and international treaties. DeBugExPress retains all ownership rights, including:
- All copyrights, trademarks, and trade secrets in the Software
- All modifications, improvements, and derivative works created by DeBugExPress
- All patents, whether currently existing or filed in the future
This license does not convey any ownership rights to the Licensee. The Licensee acquires only the right to use the Software in accordance with this Agreement.
5. Support & Updates
DeBugExPress provides the following support and update benefits:
- Updates: All minor updates (e.g., 1.1, 1.2) are included free of charge
- Major Upgrades: Major version upgrades (e.g., 2.0, 3.0) may be offered at a discounted upgrade price
- Email Support: Available during the first 12 months after purchase
- Priority Support: Included with Team and Enterprise plans
Support is provided via email at support@debugexpress.com. Response times vary based on the purchased plan.
6. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.
DeBugExPress does not warrant that:
- The Software will meet the Licensee's specific requirements
- The Software will operate error-free or without interruption
- Any defects in the Software will be corrected
Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to all Licensees.
7. Limitation of Liability
IN NO EVENT SHALL DEBUGEXPRESS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
DeBugExPress's total liability shall not exceed the amount paid by the Licensee for the Software license.
8. Termination
This license is effective until terminated. It will terminate automatically if the Licensee fails to comply with any term of this Agreement.
Upon termination, the Licensee must:
- Cease all use of the Software
- Destroy all copies of the Software in their possession
- Certify in writing that all copies have been destroyed
The following provisions shall survive termination: Sections 4 (Intellectual Property), 6 (Warranty Disclaimer), and 7 (Limitation of Liability).
9. General Terms
Governing Law: This Agreement shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous agreements.
Severability: If any provision of this Agreement is held to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver: The failure of DeBugExPress to exercise any right under this Agreement shall not constitute a waiver of that right.
